Introduction
These Terms & Conditions ("Terms") govern access to and use of the websites, mobile applications, dashboards and related services (together, the "Services") provided by Appilary Technologies ("Appilary", "we", "us" or "our").
They apply to every business that subscribes to the Services (the "Customer"), to the individuals the Customer authorises to use them, such as managers, field executives and brand teams ("Users"), and to visitors to our website. Appilary builds platforms for field sales, BTL, OOH and retail execution.
Acceptance of Terms
By accessing or using the Services, or by signing an order form or service agreement that refers to these Terms, you agree to be bound by them. If you accept on behalf of a business, you confirm that you have authority to bind that business.
If you do not agree with these Terms, please do not use the Services. Where a signed agreement between you and Appilary conflicts with these Terms, the signed agreement prevails.
We may update these Terms from time to time. The "Last updated" date above shows the latest version. Where a change is material, we will give reasonable notice, for example by email or inside the dashboard. Continued use of the Services after a change means you accept the updated Terms.
Our Services
Appilary provides technology platforms that help organisations plan, execute and monitor field operations. Depending on your agreement, the Services may include:
- Field force automation, including attendance, visits, orders and reporting.
- BTL, OOH and retail branding execution and monitoring tools.
- Dashboards, analytics and downloadable reports.
- AI and machine-learning features that support analysis and decision-making.
- Custom development, integrations and support services.
We may improve, change or retire features over time. Some features rely on third-party services such as maps, messaging or cloud hosting, which are subject to their own terms. Features marked as beta or preview are provided as is and may change or be withdrawn.
User Responsibilities
You agree to use the Services lawfully and responsibly. In particular, you must not:
- Use the Services in breach of any applicable law or regulation, including labour, privacy and telecom rules.
- Provide false, misleading or fraudulent information, photos or location data.
- Attempt to gain unauthorised access to the Services, other accounts or our systems.
- Copy, scrape, reverse engineer or interfere with the Services, or introduce malware or excessive load.
- Upload content that is unlawful, infringing or that you have no right to share.
Customers are responsible for making sure their Users follow these Terms and for the actions of anyone using the Services under the Customer's account.
Account Usage
Accounts are created and managed by the Customer's administrators, who control roles and permissions. Each account is for one individual unless your agreement says otherwise.
- Keep your login details confidential and do not share them.
- Tell us promptly if you suspect unauthorised use of an account.
- Customers must remove or disable access for people who leave the organisation or change roles.
- Keep contact and account information accurate and up to date.
We may suspend an account where we reasonably believe it has been compromised or used in breach of these Terms.
Data & Privacy
The Customer keeps ownership of the data it and its Users submit to the Services, such as orders, photos, retailer information, attendance records and reports ("Customer Data"). The Customer grants Appilary the right to process Customer Data only as needed to provide, secure and support the Services.
The Customer decides why and how Customer Data is used and is responsible for having a lawful basis and giving any required notices to its employees, partners and retailers. Appilary applies reasonable technical and organisational safeguards to protect Customer Data and handles it in line with your agreement.
How we handle personal information is explained in our Privacy Policy, which forms part of these Terms.
GPS Tracking
Some features use the location of a User's device, for example attendance check-ins, visit verification, geotagged photos, route and territory reporting, and outlet locations. Location is collected through the Appilary app when the User has granted the required device permission and the Customer has enabled the feature.
- Customers must inform their personnel about location collection and obtain consent where the law requires it.
- Location features must be used for legitimate business purposes only, and never for unlawful surveillance.
- Users can manage location permissions in their device settings. Turning them off may limit features that depend on location.
- Location accuracy depends on the device, network and surroundings, so we cannot guarantee exact precision.
AI-Based Features
Parts of the Services use artificial intelligence and machine learning, for example to analyse images, highlight patterns or generate insights. These features work on probabilities, so their output can sometimes be incomplete or wrong.
- Review AI output before relying on it, especially for decisions that affect people, payments or compliance.
- AI output is provided for business information and is not legal, financial or professional advice.
- Only submit data that you have the right to use with the Services.
- AI features may rely on third-party technology providers, and data used by them is handled as described in the Data & Privacy section and your agreement.
Intellectual Property
Appilary and its licensors own the Services, including the software, models, designs, documentation, trademarks and logos. These Terms do not transfer any ownership to you.
While you have a valid subscription, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Services for your internal business purposes. You may not copy, sell, sublicense or create derivative works from the Services, or use our trademarks without written permission.
Customer Data remains the property of the Customer. If you give us feedback or suggestions, we may use them to improve the Services without obligation to you.
Limitation of Liability
To the extent permitted by law, the Services are provided "as is" and "as available". We work to keep them reliable but do not promise they will be uninterrupted or error-free.
To the maximum extent permitted by law, Appilary is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability for claims arising from the Services is limited to the fees the Customer paid for the Services in the 12 months before the claim, unless your agreement states otherwise.
Nothing in these Terms limits liability that cannot be limited by law. Appilary is not responsible for failures caused by events beyond its reasonable control, or for the Customer's own compliance obligations, such as obtaining consent for location tracking.
Termination
The Customer may stop using the Services or end its subscription as set out in its agreement. We may suspend or end access if there is a material breach of these Terms, unpaid fees, unlawful use or a security risk, and we will give notice where practical.
When access ends, the right to use the Services stops and any fees already due remain payable. Customer Data will be made available for export and then deleted in line with your agreement and our Privacy Policy. Sections that by their nature should continue, such as Intellectual Property, Limitation of Liability and Governing Law, remain in effect.
Governing Law
These Terms are governed by the laws of India. We encourage you to contact us first so that any dispute can be resolved through good-faith discussion. If it cannot be resolved that way, the courts of competent jurisdiction in India will have authority over it.
If your signed agreement with Appilary names a different venue or an arbitration process, that provision applies instead.
